Demades Affiliate Program Terms
Effective: August 2, 2026 (v1.0)
These Affiliate Program Terms ("Terms") govern your participation in the Demades Affiliate Program (the "Program"). They are between you ("Affiliate", "you") and D3SMC LLC d/b/a Demades ("Demades", "we", "us"). You accept these Terms when you enroll in the Program. If you do not agree, do not enroll.
Enrolling is free. There is no contract term, no minimum volume, and no reseller or white-label agreement. You promote Demades with a link; when someone you referred pays us, we pay you a share.
Status of these Terms. This is version 1.0. Outside counsel review is pending, and we may revise these Terms as described in Section 12. Enrollment in the Program is an acceptance of the version displayed to you at enrollment; it is not a negotiated or executed agreement, and no Demades representative can vary these Terms verbally.

Every number above is defined precisely below. Where the table and the text differ, the text controls.
2. Eligibility
To enroll and stay in the Program you must:
- Have a Demades account in good standing.
- Be at least 18 years old and legally able to enter these Terms.
- Provide accurate identity and payment information, and keep it current.
- Provide the tax documentation we reasonably request. We cannot pay you without it — U.S. affiliates must supply a valid Form W-9, and non-U.S. affiliates the applicable Form W-8. We may withhold where the law requires it.
- Not be a person or entity we are barred from paying under applicable sanctions, export-control or anti-money-laundering law.
You may not enroll on behalf of another person without their authority, and you may not hold more than one affiliate account without our written permission.
Employees, contractors and their households are not eligible. Neither are referrals of yourself, of an account you control, or of any entity under common control with you. Self-referral is the most common cause of forfeiture under Section 7.
3. What earns a commission
Referred Revenue means amounts Demades actually collects from a customer who became a Demades customer through your Attributed Link, during the Commission Term, for Demades subscription or usage charges.
Referred Revenue is net. We calculate commission on what we keep, so it excludes:
- Refunds, chargebacks, credits and disputed amounts — including amounts refunded after we already paid you commission on them (see Section 5 on clawback).
- Sales, use, VAT, GST and other transaction taxes.
- Payment-processing fees, currency-conversion costs and bank charges.
- Amounts paid in Demades credits, promotional credits, free-tier usage, trial usage, or any balance a customer did not pay cash for.
- Charges to an account that is not eligible under Section 2.
Attribution is 90-day first touch. When someone arrives through your Attributed Link we record your code and it stays theirs for 90 days. If they create a Demades account within that window, the referral is credited to you. First touch means the earliest affiliate code recorded wins: a later affiliate link in the same window does not displace you, and you do not displace an earlier one.
The Commission Term is 12 months, running from the referred customer's first payment to Demades — not from enrollment and not from the click. After 12 months that customer's revenue stops earning commission. Nothing renews the term.
A referral does not earn anything until the customer pays. Signups, trials, free episodes and credit-funded usage are worth $0 in commission, however many there are.
4. Your link, and where you may use it
On enrollment you receive an affiliate code and an Attributed Link. One link works across every Demades surface. You may use it on sites you own or control, in your own newsletters and social posts, and in videos and podcasts you produce.
You may not:
- Alter, obscure, cloak or re-wrap the link in a way that hides that it is an affiliate link, or that strips the attribution parameters.
- Present the link as though Demades operates the page, or imply that Demades endorses, employs, sponsors or has reviewed you or your content.
- Use the link in any context prohibited by Section 6.
We may change the link format, the attribution mechanism or the Program's technical implementation at any time. We will keep working links working where we reasonably can.
5. Getting paid
Accrual. Commission accrues when we collect the customer's payment.
Hold. Accrued commission is held for 30 days before it becomes payable. The hold exists so that refunds and chargebacks resolve against the accrual instead of against a payment we already made.
Threshold. Payable commission is disbursed once your payable balance reaches $25.00 USD. Below the threshold the balance rolls forward indefinitely; it does not expire while you are in the Program.
Cadence. We draft payouts monthly, in arrears, after review. A payout is reviewed by a person before it is disbursed, and disbursement is a manual step — so treat the monthly cadence as our normal practice rather than a same-day guarantee. We disburse in USD.
You pay your own costs. Payment-processor, bank and currency-conversion fees on your side are yours. You are responsible for your own taxes; we do not withhold on your behalf except where the law requires it.
Clawback. If revenue we already paid you commission on is later refunded, charged back, reversed or determined to be ineligible, we may deduct the corresponding amount from your future commission, or invoice you for it if no future commission is available. We may also reverse commission we determine was earned in breach of these Terms.
Disputes. Query a payout within 60 days of the payout date, at [email protected]. Our records of clicks, attribution, revenue and payouts are the authoritative record for the Program.
6. 🚨 Disclosure and conduct
6.1 You must disclose — every time
You are a compensated endorser. U.S. Federal Trade Commission rules require you to disclose that relationship clearly and conspicuously in every post, video, livestream, email, story, comment and page that carries your Attributed Link or promotes Demades for commission.
Clearly and conspicuously means:
- Up front and unavoidable — before or alongside the link, not below a "more" fold, not at the end of a description, not in a bio, and not on a separate disclosure page.
- In the same medium — spoken aloud in audio and video (and also on screen in video), not only in the caption.
- In plain language — "paid link", "affiliate link", "I earn a commission if you sign up" all work. A bare "#ad" buried in a hashtag block does not, and neither does "#sp", "collab", "thanks Demades" or an unexplained affiliate tag.
Platform disclosure tools (a paid-partnership label, a YouTube disclosure checkbox) are not sufficient on their own. Use them *and* disclose in your own words.
Failing to disclose is a termination and forfeiture event under Section 7. This is the one rule in these Terms we do not issue warnings for, because an undisclosed endorsement is a legal exposure for Demades as well as for you.
6.2 Prohibited conduct
Each of the following is a termination and forfeiture event:
- Fake or incentivized reviews — writing, buying, selling, soliciting or arranging reviews or testimonials that are not the honest opinion of a real person with real experience of Demades, or conditioning a review on it being positive.
- Sockpuppets and undisclosed personas — misrepresenting yourself as an independent user, an employee, or multiple different people.
- Engagement pods and manipulated indicators — reciprocal or purchased engagement, bot traffic, or any inflation of views, votes, followers or rankings. Fake reviews and manipulated indicators are directly regulated by the FTC's Rule on the Use of Consumer Reviews and Testimonials, 16 CFR Part 465.
- Brand-term paid search — bidding on "Demades", "demades.ai", or any confusable variant or misspelling in any paid-search or paid-social auction, and using our name or marks in ad copy, display URLs or landing-page domains.
- Coupon and deal-site stuffing — listing invented, expired or unauthorized Demades discount codes, or placing the link on coupon, cashback or deal aggregators without our written permission.
- Cookie stuffing — setting attribution without a genuine, intentional click: hidden iframes, auto-redirects, pixel or script injection, pop-unders, or forced clicks.
- Unsolicited bulk email or messaging — spam of any kind. Your own mailing list, properly consented and CAN-SPAM compliant, is fine; purchased lists, scraped addresses and unsolicited DMs are not.
- Trademark and domain abuse — registering or using a domain, handle, app name or profile that contains "Demades" or a confusable variant.
- Misrepresentation — false or unsubstantiated claims about what Demades does, what it costs, what it is capable of, or its relationship to you.
- Prohibited placement — using the link on any site or in any content that is unlawful, infringing, hateful, sexually explicit, or targeted at children under 13.
You are also bound by the Terms of Service, the Privacy Policy and the Editorial & AI Policy. Demades content is AI-generated, and you must not represent otherwise when you promote it.
7. Termination and forfeiture
You may leave the Program at any time, for any reason, by telling us. Your already-payable, non-forfeited balance is paid out on the normal cycle.
We may suspend or terminate your participation at any time, with or without cause, on notice to the email on your account.
Forfeiture. Where we terminate you for a breach of Section 6, or for fraud, self-referral or manipulation of attribution, you forfeit all accrued and payable commission that has not yet been disbursed, and we may claw back commission already paid on the affected referrals. Forfeiture is our remedy for conduct that creates liability or costs us money to unwind; it is not a penalty for an ordinary disagreement, and we will tell you the reason.
We may withhold a payout while we investigate a good-faith suspicion of a Section 6 breach.
On termination for any reason: stop using the link and remove it from your content, and stop using our name and marks.
8. Trademarks and content
We grant you a limited, non-exclusive, revocable, non-transferable licence to use the Demades name and logo solely to promote Demades under these Terms, in the form we supply and without alteration. That licence ends when your participation ends. All rights in our marks stay ours. Section 6.2's trademark, domain and paid-search restrictions limit this licence.
You keep the rights in your own content. You grant us a non-exclusive, royalty- free licence to reproduce and display the parts of your content that promote Demades, for the purpose of verifying compliance with these Terms and for our own promotional use with your permission.
9. Independent contractor
You are an independent contractor. Nothing here creates an employment, partnership, joint venture, agency or franchise relationship. You have no authority to bind Demades, to make representations on our behalf, to negotiate on our behalf, or to accept anything on our behalf. You control how, when and where you promote, and you bear your own costs.
10. No warranty; limitation of liability
The Program is provided "as is". We do not warrant that the Program, the attribution system, or any link will be uninterrupted or error-free, and we do not guarantee any level of traffic, conversion, revenue or earnings. Nothing we say about typical or potential earnings is a promise of what you will earn.
To the maximum extent permitted by law, our total liability arising out of or relating to the Program is limited to the total commission actually paid to you in the 12 months before the event giving rise to the claim, and we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill.
You will indemnify and hold harmless D3SMC LLC and its officers, members and agents against claims, losses and costs (including reasonable legal fees) arising from your promotional activity, your content, your breach of these Terms, or your failure to disclose under Section 6.1.
11. Privacy
We process your account, payout and tax information to run the Program, as described in the Privacy Policy. If you collect personal information from people you refer, you are the controller of that information and you must have your own lawful basis and your own privacy notice. Do not send us personal data about a referred person beyond what the Attributed Link itself carries.
12. Changes to these Terms
We may change these Terms. When we do, we publish the new version on this page with a new effective date and version number, and we notify enrolled affiliates at the email on their account before a material change takes effect.
Material changes — including a change to the commission rate, the commission term, the attribution window or the payout threshold — apply prospectively only. Commission already accrued under a prior version is honored at the terms in force when it accrued. Continuing in the Program after a change takes effect is acceptance of the new version; if you do not accept it, leave the Program under Section 7 and your accrued balance is paid out normally.
13. General
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and the state and federal courts located in Travis County, Texas have exclusive jurisdiction. These Terms, together with the Terms of Service and Privacy Policy, are the entire agreement about the Program and supersede any prior discussion of it. You may not assign them without our written consent; we may assign them to a successor. If any provision is unenforceable, the rest survives. Our failure to enforce a provision is not a waiver of it. Sections 3 (clawback), 5, 7, 8, 10 and 13 survive termination.
