Creator Agreement

Effective: August 1, 2026 (v1.1) — *v1.1 rewrites Section 5 (you own your outputs, not just your inputs; the license you grant us is limited and revocable; a no-training covenant; commercial rights on paid plans that survive cancellation) and adds Section 11 (what we promise about a sample episode we produced for you). v1.0 was effective June 21, 2026.*

This Creator Agreement ("Agreement") governs your use of Demades to publish your own shows and episodes to the public ("Creator Content") and to monetize them. It is between you ("Creator", "you") and D3SMC LLC d/b/a Demades ("Demades", "we", "us"). By accepting this Agreement — which you do when you claim a public creator handle — you agree to these terms. If you do not agree, do not publish Creator Content.

Becoming a creator is optional and free. You remain an ordinary Demades user; this Agreement adds the terms that apply specifically when you publish to the public.

1. Who can be a creator

You must have a Demades account in good standing, be legally able to enter this Agreement, and provide accurate information. Your public creator handle and public profile (display name, bio) are visible to anyone; they must not impersonate another person or brand, infringe a trademark, or imply that Demades created or endorses your Creator Content.

2. You direct your content; you are responsible for it

Demades provides the AI generation, synthetic voices, and publishing technology (the "Platform"). You choose the prompts, topics, and instructions that produce your Creator Content, and you decide whether to publish and distribute it. This is the load-bearing allocation of risk in this Agreement, mirroring the review-and-approval transfer in our business Master Services Agreement (MSA §§8, 10):

Your decision to publish transfers publication responsibility to you. When you publish a script or episode, you are responsible for the decision to publish and distribute that content, including any statement in it about a named third party. Demades remains responsible for performing the generation Services with reasonable care and for the Platform technology and licensed voices it controls — it is not responsible for the topics you direct, the claims your prompts produce, or your decision to make content public.

You are responsible for reviewing your Creator Content before you publish it for factual accuracy, legal and regulatory fit, and any statements about you or third parties. AI-generated content can be inaccurate; you must not rely on it as fact or as legal, financial, medical, or other professional advice, and you must not publish it as such.

3. Content standards

Creator Content must comply with the Terms of Service and the Editorial & AI Policy. You will not publish content that is unlawful, infringing, defamatory, harassing, deceptive, that knowingly asserts false and damaging claims about a real person or company, or that violates a third party's rights. Demades may apply additional review to third-party public content (for example, holding a new creator's first public shows for review) and may refuse, label, unlist, or remove any Creator Content, and may suspend a creator, at its discretion — including under the correction and takedown process in the Editorial & AI Policy.

4. Attribution and the Demades brand

Your Creator Content is published as your content, attributed to your creator handle, and is distinct from Demades' own editorial content. You receive no right to use the Demades name or marks except to identify that your content is hosted on Demades. You will not represent that Demades or any third party endorses your Creator Content unless expressly authorized in writing.

5. Rights and license

5.1 You own your inputs — and you own the output

You retain all right, title, and interest in the material you provide (your posts, feeds, uploads, prompts, and instructions — your "Inputs"). As between you and Demades, you also own the episodes, audio, transcripts, artwork, and other material the Platform generates from your Inputs at your direction (your "Outputs"). Demades claims no ownership of your Outputs, and to the extent any right in an Output would otherwise vest in Demades by operation of law, Demades assigns it to you.

Two honest limits on what that ownership can mean:

5.2 The license you grant us is limited and revocable

You grant Demades a worldwide, non-exclusive, royalty-free license to host, reproduce, process, transmit, display, and distribute your Inputs and Outputs only as needed to: (a) operate the Platform and deliver the features you ask for; (b) distribute the Creator Content you chose to publish, through the channels you enabled (the public catalog, RSS, and podcast directories); (c) insert advertising into a show you opted into advertising, as described in Section 6; and (d) promote the service using Creator Content you have already published publicly.

This license is limited to those purposes and revocable. It ends for a given piece of Creator Content when you unpublish or delete it, or when you stop being a creator under Section 9 — except for (i) copies already distributed to third parties or cached downstream (podcast directories, listeners' devices, CDNs), which we cannot recall; (ii) backups and logs, which age out on their ordinary retention cycle; and (iii) records we are required to keep by law. You may revoke (d) — promotional use — at any time by contacting support, and we will stop new promotional use within a reasonable period.

You represent that you have all rights necessary to provide your Inputs and to grant this license, and that your Inputs and instructions do not infringe or violate any third party's rights or applicable law.

5.3 We do not train AI models on your content

Our own commitment, without qualification: Demades does not use your Inputs or Outputs to train, fine-tune, or evaluate any AI model; does not sell, license, or otherwise supply them to anyone as training data; and does not include them in any dataset offered to third parties for that purpose. This holds on every plan, including the free plan.

What we can say about the vendors we route through — and what we cannot. Generating an episode sends your content to third-party AI processors. We hold each of them to processor terms, and we keep a public record of which ones we use and what their terms permit. As of the effective date above:

We will update this section as a vendor's posture changes or a lane moves between these lists. A narrower promise that is true is worth more to you than a broad one that is not.

5.4 Commercial rights on paid plans — and what survives cancellation

On any paid plan, you may use your Outputs commercially: publish them, distribute them on your own feeds and channels, monetize them, place them behind your own paywall, and use them in your business — with no additional license fee to Demades and no per-output royalty.

These commercial rights survive cancellation or downgrade, for every Output generated while your paid plan was active. Cancelling stops future generation; it does not retroactively restrict what you may do with episodes you already paid to produce, and you are never required to take them down.

On the free plan you may use your Outputs personally and publish them on Demades. Commercial use of free-plan Outputs is permitted except for resale of the Output itself as a standalone product or service.

6. Monetization and credits

If you opt a show into advertising, Demades may insert host-voice ad reads into your episodes and credit your account for qualifying ad activity. Earnings are issued as Demades platform credits (usable for generation), not cash, under a closed-loop model. Cash-out of credits to currency is not available today and, if offered later, will be governed by additional terms (including identity verification and a conversion rate set below the in-platform value of credits) and is at Demades' discretion. Credits have no cash value, are non-transferable except as the product expressly allows, and may be adjusted or reversed for fraud, abuse, chargebacks, or error. Advertising terms, revenue splits, and eligibility may change with notice.

7. Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Demades and its affiliates from third-party claims arising out of (a) your Creator Content; (b) your prompts, instructions, or directed content; (c) your publication, distribution, or use of any episode you chose to publish; and (d) your breach of this Agreement, the Terms of Service, or the Editorial & AI Policy.

8. Disclaimers and limitation of liability

The Platform and AI-generated content are provided "as is." Except as expressly stated, Demades disclaims all warranties, including that AI-generated content is accurate, complete, or free of error. Demades' aggregate liability arising out of your use of the creator features is limited as set out in the Terms of Service. Nothing in this Agreement limits liability that cannot be limited under applicable law.

9. Suspension and termination

Either party may end your participation in the creator program at any time. You may stop being a creator by unpublishing your content and contacting support. Demades may suspend or terminate your access to the creator features for breach of this Agreement or the policies it references. Sections 2, 5, 7, 8, and 11 survive termination — including, for the avoidance of doubt, your ownership of your Outputs (5.1), the no-training covenant (5.3), and the commercial rights to Outputs you generated on a paid plan (5.4). The license you grant Demades in 5.2 does not survive, except for the narrow carve-outs that section itself lists.

10. Changes and general

Demades may update this Agreement; material changes will be communicated and may require re-acceptance to continue publishing. This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-laws rules. If any provision is unenforceable, the rest remains in effect. Questions: support.

11. Sample episodes we produced for you

Sometimes we produce a sample episode from a creator's publicly published posts or feed and send it to them, unasked, to show what the Platform does. If you received one of those, this section is a commitment Demades makes to you. It binds us whether or not you ever accept the rest of this Agreement or become a creator — you do not have to sign anything, or do anything at all, for it to apply:
